Indian beauty and fashion retailer Nykaa has approved the acquisition of an 82% majority stake in Simply Nam Beauty Private Limited for a consideration of up to ₹33 crore, strengthening its presence in the premium professional makeup segment.

The proposed acquisition, approved by the board of FSN E-Commerce Ventures, Nykaa’s parent company, on 4 November 2026, will bring Simply Nam into its House of Nykaa portfolio. The transaction is expected to be completed in the third quarter of FY2027, subject to applicable closing conditions.

Founded in 2020 by celebrity makeup artist Namrata Soni alongside venture studio Bozzil, Simply Nam has developed a professional makeup range focused on Indian skin tones, formulations and everyday beauty requirements.

Under the proposed arrangement, Soni will retain an 18% stake in the business and continue as Co-Founder and Chief Product Officer. She will remain involved in product development, brand strategy, marketing, content creation and education, ensuring that her professional makeup expertise continues to shape the brand’s direction.

The acquisition is intended to strengthen Nykaa’s premium makeup portfolio by adding a specialist, artist-led brand. Simply Nam will occupy a higher price segment within the company’s existing makeup portfolio, complementing Nykaa Cosmetics and Kay Beauty.

According to the company’s disclosures, Simply Nam recorded turnover of ₹16.99 crore in FY2025-26, compared with ₹9.61 crore in FY2024-25 and ₹3.70 crore in FY2023-24. Its revenue growth reflects increasing demand for its professional beauty products.

Nykaa plans to leverage its established distribution network, consumer insights, marketing capabilities and retail presence to expand Simply Nam’s reach. The company had 338 beauty stores across 111 cities as of 30 September 2026.

The transaction comes as Nykaa continues to expand its portfolio through investments in specialist beauty brands and partnerships with industry personalities. Its strategy focuses on developing a broader range of products catering to different consumer preferences and price segments.

For Soni, the partnership provides an opportunity to scale a brand built around her professional makeup experience, while retaining an active role in its creative and product development direction.

The proposed acquisition highlights the growing commercial value of expert-led beauty brands and the increasing role of established entrepreneurs and industry professionals in shaping India’s premium cosmetics market.
