South African pharmaceutical company Aspen Pharmacare has completed the sale of the European commercialisation rights and related intellectual property for its women’s health product Ovestin to Ennogen Healthcare International for €197 million, marking a significant transaction in the women’s healthcare market.
The agreement, initially announced on 2 November 2026, was completed on 3 November after Ennogen’s funding arrangements satisfied the required conditions. Aspen confirmed receipt of the €197 million purchase consideration in an update released on 5 November. Ennogen will also acquire related inventory valued at approximately €4 million.
Ovestin is an established women’s health product used in the treatment of symptoms associated with oestrogen deficiency. The transaction covers its European intellectual property, product registrations, marketing authorisations and related inventory.
Despite transferring the commercialisation rights, Aspen will continue manufacturing and supplying the active pharmaceutical ingredient and cream formulation of Ovestin to Ennogen under long-term agreements with an initial term of ten years, subject to possible extension by mutual agreement.
The arrangement also includes a five-year strategic support agreement under which Aspen will provide services to Ennogen for a fee of €1 million per month. Transitional distribution services will be provided for up to three years to facilitate the transfer of the business.
Ovestin contributed approximately 756 million South African rand in revenue and 238 million rand in profit after tax to Aspen during its 2026 financial year. The product generated gross profit of approximately 521 million rand over the same period.
For Aspen, the divestment forms part of its strategy to unlock value from assets outside its primary focus on emerging markets and create greater flexibility in capital allocation. The company has indicated that share buybacks remain its preferred method of returning capital to shareholders.
For Ennogen, the acquisition strengthens its position in the European pharmaceutical market and adds an established women’s health brand to its portfolio. The company, founded in 2011, focuses primarily on the European pharmaceutical and medical device sectors.
The transaction does not involve the transfer of employees to Ennogen. Aspen will retain a manufacturing and supply role, while Ennogen takes responsibility for commercialising Ovestin across the covered European markets.
The deal highlights continued commercial activity in the women’s healthcare sector, where established products and specialised treatment portfolios remain important assets for pharmaceutical companies seeking growth and expansion.
